MAHKOTA GROUP HOLDS EGMS, WHAT ARE THE POINTS?

PT Mahkota Group held an Extraordinary General Meeting of Shareholders (EGMS) on Tuesday (14/2/2023) related to several changes in corporate policy.
One of the points of the 2023 EGMS of the MGRO issuer is the reappointment of members of the company's board of commissioners and directors.
This is related to the absence of changes in the composition of the company's board of commissioners and directors even though their term of office will end on March 1, 2023.
“So it is proposed to the shareholders to reappoint members of the Board of Commissioners and Directors of the Company starting from March 1, 2023 to March 1, 2028 without reducing the rights of the GMS to dismiss at any time,” said MGRO Corporate Secretary Elvi, Tuesday (2/14/2023).
Then in the next point of the minutes, it is stated that there are changes to several articles in the company's articles of association.
“Amendments to the company's articles of association article 10 paragraph 3, 8, 9, article 22 paragraph 3, 8, 9, in order to adjust the implementation of the Asean Corporate Governance Scorecard (ACGS) standards,” continued Elvi.
Then, he continued, changes to the budget article also included article 23 paragraph 5 in order to adjust to the Financial Services Authority (OJK) regulation Number 14 /POJK.04/2022 chapter IV related to the media and language of announcements in submitting periodic financial reports.
The specific purpose of MGRO running ACGS is called Elvi as a step to improve the implementation of better internal Good Corporate Governance (GCG).
